Trade terms

Professional project terms for designers, architects, builders, hospitality teams, and other trade contacts who specify custom April's Form pieces for a client or commercial setting.

Policy summary

  • Trade access is for verified professional specification and procurement, not public resale or marketplace listings.
  • Trade pricing, samples and project assets are confidential unless April's Form agrees otherwise in writing.
  • Designers and architects remain responsible for client authority, accurate specifications, approvals and compliant client communications.

Eligibility

  • The trade program is open to registered trade businesses and professional operators with a valid ABN or other verification accepted by us.
  • We may ask for business name, ABN, website, portfolio, professional role, studio details, project pipeline, client type, delivery cities, and other information needed to assess the application.
  • Trade access is not automatic. We may approve, decline, pause, or end trade access where reasonably necessary to protect the program, customers, brand, or project quality.
  • Trade access is for professional specification and procurement. It is not transferable and must not be shared with unauthorised people.

Trade relationship and authority

  • For each project, the quote or order confirmation must identify whether the contracting customer is you, your studio/business, or your client.
  • If you order as principal, you are responsible for payment, approvals, client communications, specifications, access information, delivery coordination, and any resale or client-facing obligations you owe.
  • If you act as an agent or representative for a client, you must have authority to provide information, request quotes, approve specifications, and communicate with us on the client's behalf.
  • You must ensure any client personal information, drawings, photographs, addresses, or project details you provide to us have been collected and disclosed with appropriate authority or consent.

Trade pricing and GST

  • Approved trade members may receive trade pricing, project pricing, sample terms, or other benefits as advised by us in writing.
  • Trade pricing is confidential and must not be published, posted online, displayed publicly, forwarded to unauthorised recipients, or disclosed to clients except where we agree in writing or disclosure is required by law or professional obligation.
  • Trade prices may be shown exclusive of GST where clearly marked and directed to business customers. Any customer-facing quote to a consumer must comply with applicable price display and GST requirements.
  • You remain free to set your own client-facing prices, fees, margins, and charges. We may provide recommended retail pricing or suggested pricing structures, but they are recommendations only and do not restrict your independent pricing decisions.

Quotes, specifications, and approvals

  • You are responsible for confirming the project brief, dimensions, stone selection, finish, edge profile, tolerances, drawings, site conditions, access, client timing, delivery address, and installation assumptions before placing an order.
  • You must review quotes, specifications, samples, disclosures, and quality-control material carefully before approval.
  • Lead times, payment stages, delivery, access, storage, returns, warranty, care, and cancellation terms in our other policies apply to trade orders unless varied in writing.
  • Changes after approval may affect price, lead time, feasibility, warranty, and delivery assumptions and may not be possible once production or supplier commitment has begun.

Client communications

  • You must represent April's Form accurately and must not make claims about origin, materials, lead times, warranty, delivery, installation, sustainability, exclusivity, or performance beyond our written material or written project-specific confirmation.
  • You must give your client appropriate care, natural variation, delivery, warranty, and ACL information where you are responsible for client-facing communication.
  • You must not imply that you are an employee, director, agent, franchisee, or authorised legal representative of April's Form unless we expressly agree in writing.

Samples, trade assets, and confidential material

  • Samples, line sheets, trade pricing, CAD files, imagery, renders, product specifications, supplier information, and other trade assets are provided for professional project assessment only.
  • We may charge for samples, shipping, replacement samples, sample returns, or sample deposits where disclosed.
  • Trade assets must not be copied, altered, published, supplied to competitors, used for marketplace listings, or used outside the approved project or trade purpose without written permission.

Project attribution, photography, and marketing

  • We may request permission to photograph, publish, or attribute completed projects. Any use of project imagery, client names, studio names, locations, or case-study material should be confirmed in writing.
  • You must not publish confidential pricing, supplier details, unapproved product claims, or private client information.
  • If you publish April's Form products or imagery, you must credit the brand accurately and comply with any reasonable brand guidelines we provide.

Commissions, rebates, and referral fees

  • We do not currently offer referral commissions or rebates. Any trade benefit is provided through approved trade pricing or project support unless we agree otherwise in writing.
  • If we later offer any commission, rebate, referral fee, or other benefit, it must be set out separately in writing, including eligibility, calculation, timing, tax/GST handling, cancellation, and clawback circumstances.
  • You are responsible for disclosing any commission, rebate, margin, referral fee, or other benefit to your client where required by law, contract, professional rules, or ethical obligations.

Resale and online listings

  • You must not list April's Form products on marketplaces, third-party retail sites, paid ads, or public ecommerce stores using our brand, imagery, or trade materials without written approval.
  • You must not misrepresent stock availability, lead times, product origin, warranty, returns, delivery, or installation support.
  • You remain responsible for any promises you make to your customer that go beyond our written commitments.

Payment, credit, and set-off

  • Unless we approve credit terms in writing, trade orders follow the payment schedule in the Terms of Sale.
  • We may withhold production, shipment, delivery booking, trade assets, or future trade access where invoices are overdue.
  • You must not deduct, withhold, or set off amounts from an invoice unless we agree in writing or the law allows it.

Suspension and termination

  • We may suspend or end trade access if you breach these terms, disclose confidential pricing, misuse trade assets, misrepresent the brand, fail to pay invoices, misuse client information, act unlawfully, or damage customer trust in the program.
  • Suspension or termination of trade access does not affect accrued payment obligations, confidentiality obligations, or any order already accepted unless we agree otherwise in writing or the law requires otherwise.

Privacy

  • Personal information is handled under our Privacy Policy.
  • You must only provide client or project personal information to us where you have authority or consent to do so.
  • If you send marketing or client communications involving April's Form, you are responsible for complying with applicable privacy, spam, and consumer laws for your own communications.

Australian Consumer Law and small business protections

  • Nothing in these Trade Program Terms excludes, restricts, or modifies any guarantee, right, or remedy that cannot be excluded under the ACL or other applicable law.
  • End consumers may have ACL rights even where the order is placed through a trade professional.
  • Some trade members may also have small business protections under unfair contract term laws. These terms must be applied fairly and read subject to any rights that cannot be excluded.
